Practice Transitions Group Terms of Use

Effective date: November 1, 2026

1. Acceptance of These Terms

These Terms of Use govern your use of practicetransitionsgroup.com and any related pages, forms, and tools (the "Site"). The Site is operated by PracTran LLC, doing business as Practice Transitions Group ("PTG," "we," "us"), based in Austin, Texas.

By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

You must be at least 18 years old to use the Site. If you use the Site on behalf of a practice or company, you confirm you have authority to accept these Terms for it.

2. No Advisory Relationship

Using the Site does not make you a PTG client. An advisory relationship exists only under a separate written engagement agreement signed by you and PTG.

Site content (articles, guides, market commentary, webinars, and calculator results) is general information. It is not legal, tax, accounting, investment, or financial advice, and it is not a formal valuation or appraisal. Talk to your own attorney, CPA, and other advisors before making decisions about buying or selling a practice.

Submitting a form or contacting us does not obligate PTG to take on your engagement. We may decline any inquiry for any reason.

3. Valuation Calculators and Estimates

The Site offers online practice valuation calculators for dental, medical, behavioral health, dermatology, veterinary, and medspa practices. Any value range a calculator shows or sends you is a rough, automated estimate based only on the limited information you enter and general market assumptions.

Calculator results:

  • are not an appraisal, a formal valuation, a fairness opinion, or an offer to buy your practice;
  • do not reflect a review of your financials, payor mix, lease, staffing, equipment, or local market;
  • may differ significantly from what a buyer will actually pay; and
  • should not be relied on for lending, tax, estate, divorce, partnership buy-out, litigation, or any other legal or financial purpose.

We may change the assumptions and multiples behind the calculators at any time. A detailed opinion of value is available only through a separate PTG engagement.

4. Practice Listings and Confidential Information

Practice listings on the Site are anonymized summaries based on information from sellers. We do not verify every detail. Listings may be withdrawn, changed, or sold at any time, and a listing is not an offer to sell.

To protect sellers, we release information beyond the anonymized listing (including the practice's identity, location, financials, and offering materials) only after you sign a non-disclosure agreement with PTG. We may also require proof of financial qualification. That NDA controls over these Terms for any information it covers.

You may not:

  • contact a listed practice, its owners, staff, patients, landlord, or vendors directly about a sale without our written permission;
  • try to identify a confidential listing by combining Site information with outside sources; or
  • share listing details with anyone not covered by your NDA.

All buyer communications about a listing go through PTG.

5. Information You Submit and How We Contact You

When you use a calculator, contact form, or other Site form, you agree that:

  • the information you provide is accurate and is yours to share;
  • you will not submit patient information or other protected health information (PHI) through the Site; and
  • we may use your submission to respond to you, prepare estimates and materials, assess fit, and improve our services, as described in our Privacy Policy.

By submitting your contact details, you agree that PTG may email you about your inquiry and related services. If you ask us to call you on a form, you agree that we may call the phone number you provide. We do not text or auto-dial leads. You can opt out of marketing emails at any time using the unsubscribe link.

Do not send us unsolicited ideas or proposals. If you do, we may use them without obligation to you.

6. Acceptable Use

You agree not to:

  • submit false, misleading, or someone else's information;
  • scrape, crawl, or bulk-download Site content, listings, or calculator outputs, or use bots to submit forms;
  • reverse engineer the calculators or use them to build a competing tool;
  • attempt to access accounts, admin areas, or systems you are not authorized to use, or probe, scan, or test the Site's security;
  • upload malware, spam, or content that is unlawful, defamatory, or infringing; or
  • use the Site to solicit our clients, listed practices, or employees.

We may block access, remove content, or refuse service to anyone who breaks these rules.

7. Intellectual Property

PTG owns or licenses all Site content, including text, graphics, logos, calculators, reports, and the "Practice Transitions Group" name. You may view and print Site content for your own personal or internal business use. You may not copy, republish, sell, or create derivative works from it without our written permission.

You may share a link to any public page of the Site.

8. Third-Party Links, Services, and Privacy

The Site may link to or use third-party websites and services (for example, scheduling, analytics, advertising, and email tools). We do not control them and are not responsible for their content or practices. Your use of them is governed by their own terms.

Our Privacy Policy explains what we collect through the Site, including form entries, IP-based location, referral source, and advertising identifiers, and how we use it.

9. Disclaimers, Limitation of Liability, and Indemnification

Disclaimer. THE SITE AND ALL CONTENT, LISTINGS, AND CALCULATOR RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, PTG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not promise the Site will be uninterrupted, error-free, or secure.

Limitation of liability. TO THE FULLEST EXTENT ALLOWED BY LAW, PTG AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE OR RELIANCE ON ITS CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED $100.

This section does not limit PTG's obligations under a signed engagement agreement or NDA, which have their own terms.

Indemnification. You agree to cover PTG's losses and reasonable legal fees from any claim arising from your breach of these Terms, your misuse of the Site, or information you submit.

10. Disputes and Governing Law

Informal resolution first. Before filing any claim, you agree to email us at info@practicetransitionsgroup.com describing the dispute, and to try in good faith to resolve it for 30 days.

Binding arbitration. Any dispute that is not resolved informally will be settled by final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Travis County, Texas. The arbitrator's decision may be entered as a judgment in any court with jurisdiction. Either party may still bring an individual claim in small claims court, or seek a court order to stop infringement of intellectual property or misuse of confidential information.

No class actions. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class or representative proceeding.

Time limit. Any claim must be brought within one year after it arises, or it is permanently barred.

Governing law. These Terms are governed by the laws of the State of Texas and the Federal Arbitration Act, without regard to conflict-of-law rules.

11. General Terms

Changes. We may update these Terms at any time by posting a new version with a new effective date. Continued use of the Site after that means you accept the changes.

Changes to the Site. We may change, suspend, or discontinue any part of the Site, including any calculator or listing, without notice.

Entire agreement. These Terms and our Privacy Policy are the full agreement about your use of the Site. A signed engagement agreement or NDA with PTG controls over these Terms where they conflict.

Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it.

Assignment. You may not transfer your rights under these Terms. We may assign them to an affiliate or successor.
